End user agreements

This End User Agreement is an agreement (the "Agreement") between the user (hereinafter referred to as "you") of the Software and Products (as defined below), on the one hand, and Videotech Sverige AB, organization number: 556864-8959 (including its subsidiaries and branches), hereinafter referred to as "Videotech Sverige AB", "Videotech" and "we", on the other hand.

If you are not entering into this Agreement as an individual but on behalf of a company, the term "you" refers to that company, which undertakes to comply with this Agreement. If you are acting on behalf of a company towards us, you confirm that you have all legal grounds and authorization to act on behalf of the company and that you are not bound by its internal regulations or any other legally binding documents.

Please read the terms of this Agreement carefully before accessing or using any Videotech products or services.

The products may contain software related to the product ("Software"), for which Videotech provides its customers with a license to access and use it only in accordance with this Agreement.

If you do not agree to the terms of this Agreement, do not click the "Accept" button or any other button, by whatever name, that would confirm your agreement to read and accept this Agreement, and do not use the Product.

By clicking "Accept" or by accessing or using the Product, you agree to be bound by the terms of this Agreement.

The section "Limitations of the Product" (below) defines the limitations of the Software and related services that can be provided through the use of the Products, in connection with security measures and their use.

Please read this section carefully, as you are also agreeing to, among other things, these restrictions.

1. Subject area

This Agreement governs the legal rights and obligations of the end users of the Products and Software, on the one hand, and Videotech Sverige AB, on the other hand. This Agreement shall govern intellectual property rights, privacy policies, warranties and other matters set forth in this Agreement.

2. definition of end users

Videotech can interact with you and recognize you as an end user if you are an individual using Videotech products and Software independently or with the help of security, monitoring, installation or other service providers. If you are an authorized representative of a company that provides security, monitoring, installation or other security services using Videotech products and Software, including use of Videotech PRO applications, Videotech will interact with you as a PRO user. The legal relationship between Videotech and the PRO user shall be governed by the agreement with the PRO user or the agreement with the PRO user of the mobile application, depending on the type of Software and products used by the PRO user.

3. contractual relations

You represent and warrant that you have the capacity to enter into this Agreement relating to the Software and Product, and that you are able and competent, within your jurisdiction or place of residence, to use and access the Software and Product. The use of services that may be provided through use of the Products is subject to additional restrictions, under which you represent, warrant and agree to use the Products and Software and acknowledge that you will interact with them in a manner that:

 does not infringe any intellectual property rights, or any other rights of Videotech, or any other rights of third parties;

 does NOT violate any law or regulation;

IS NOT harmful, fraudulent, misleading, threatening, abusive, defamatory, obscene or otherwise unacceptable;

DO NOT compromise the security of your or anyone else's account that you may access through the use of the Products and/or Software, regardless of the level of access;

 does not in any way allow obtaining any user's password, account information or other security information;

 NOT compromise the security of any computer network and/or break any passwords and/or security encryption codes;

 do not decompile, reverse engineer the Software and Products or otherwise attempt to obtain the source code of the Software and/or use it in the development of any other derivative software, separate software algorithm or part thereof.

 NOT use the Software for commercial purposes, in particular to provide security, surveillance and other services to other end users.

This Agreement gives you certain legal rights. You may have additional rights depending on your jurisdiction.

4. license

Subject to the terms and conditions of this Agreement, Videotech grants you a limited, non-exclusive, non-sublicensable and non-transferable license to install and use the Software only as source code integrated into the Videotech product that you own or legally control and only for your personal, non-commercial use of the Products. You are not permitted (and you may not permit others) to rent, distribute, transfer, modify, commercially exploit or sublicense the Software, or use the Software under a sharing arrangement or in any other unauthorized manner. In addition, the license does not give you the right to use the Software in any way as readable code (source code). You may also not make any copies of the Software or its accompanying documentation for any purpose other than to back up the information generated by the use of Videotech Software and Products.

5. User statement

By using the Videotech products and Software, you agree to the following statements:

You will use the Products and Software in an ethical and legal manner, in accordance with international acts and applicable national legislation, including but not limited to protection of personal data, intellectual property rights, international sanctions, etc. You provide Videotech with accurate and current information and undertake to update it as necessary. You use your real name, location, etc. You do not use the Products and Software with someone else's or fictitious identity for any reason, including to obtain services in jurisdictions subject to sanctions by the US, EU, Ukraine, Republic of Cyprus and other countries.

6. Other Software

This Agreement does not apply to any open source software included in the Products or to any third party software that is licensed separately under the terms of various separate license agreements ("Other Software"). Other Software is not subject to the terms of this Agreement but is provided to you under the terms of any relevant third party license agreements (the "Other Software Terms"). Copyright in Other Software belongs to the stakeholders identified in the Other Software Terms. Any terms of this Agreement that conflict with the terms of any license agreements for Other Software shall not apply to Other Software. Nothing in this Agreement shall limit your rights or grant you rights that supersede the terms of any applicable end user license for Other Software.

7. software update

From time to time, Videotech may provide updates, enhancements, patches, bug fixes and other modifications to improve the Software and related services ("Patches"). You acknowledge that you may need to install Patches to continue to access and use the Products and the Software for the Products. Patches may be installed automatically by a device or manually by a user according to the device's settings. You can also opt out of periodic updates for our Products. However, Videotech may release updates that correct critical errors and increase the security of the Products. To increase your level of security, you agree to the automatic installation of Product updates, if technically feasible, without further notice and regardless of whether such automatic update feature is enabled or disabled for your Product, if it is strictly necessary to ensure the proper operation of your Products or allow encryption or fix critical errors.

8. Prohibition of assignment and reverse engineering

Any modification, reverse engineering, reverse compilation or disassembly of the Software is strictly prohibited. However, if you are a resident of the European Union ("EU"), Videotech will, upon written request, provide you with all information necessary for the Software to interact with other programs within the scope of the EU Directive on the legal protection of computer programs.

9. compensation

You hereby agree to indemnify Videotech from liability for any claims and to compensate it for any losses, liabilities, damages, fines, penalties, costs and expenses (including attorneys' fees) arising from your breach of this Agreement. computer programs.

10. Property rights, Trade secrets

You acknowledge and agree that (a) all copyrights and other intellectual property rights worldwide, and (b) the proprietary rights in the Software and all subsequent copies, in whatever form or medium, are the exclusive property of Videotech Sverige AB and its suppliers (if applicable). You acknowledge and agree that the Software contains valuable trade secrets and other proprietary information of Videotech Sverige AB and its suppliers, which is not available to the average Internet user who does not use the Software and Products. You agree to keep such trade secrets and proprietary information confidential, and you acknowledge that any actual or potential breach of this obligation will cause immediate, irreparable harm, which cannot be adequately compensated by monetary means. Upon breach of this provision, Videotech Sverige AB shall have the right to immediately cease maintaining the functionality (cease providing services) of your copy of the Software and Products without any notice and additional compensation. You are also advised that any disclosure of the information contained in the Software or information about the Products you use to third parties may damage your property or well-being and jeopardize your safety. Do not share such information with any third parties to avoid negative consequences for you. You also confirm your consent and warrant that any information you have received, including, but not limited to, from Videotech Sverige AB's support department, in connection with resolving your inquiry to Videotech Sverige AB, shall not in any way be transferred to anyone else and shall remain known only to you as the recipient of such information.

11. Copyright and Trademarks

All materials and informational content on Videotech Sverige AB's website, in Videotech Sverige AB's mobile or other apps and within its Software are owned and used by Videotech Sverige AB. You are not permitted to copy, distribute or otherwise disclose any material or informational content (including logos, images or data) or use it in a manner inconsistent with the exclusive rights of the copyright owner or trademark owner, unless you have our written permission to do so. All elements and objects used in the Software, including but not limited to images (both static and dynamic), text, functionality, user interface, audio tracks and sounds, and color combinations, are the intellectual property of Videotech Sverige AB and may only be used by you as part of the Software for the use of the Software as described in the Agreement. You are not allowed to decompose the Software or extract any elements/objects from the Software. You are also not authorized to create any copies of any items/objects by copying from the Software, or take screenshots for any purpose other than to notify Videotech Sverige AB's support of any technical problems that may arise in the use of the Software or the Products. All rights not expressly granted to you under the license under this Agreement or other applicable agreements are the property of Videotech Sverige AB.

12. Privacy policy

Videotech Sverige AB is committed to protecting your privacy with respect to all information collected under the terms of this Agreement.

By purchasing and using Videotech Sverige AB's Products and Software, you acknowledge that you have accepted this Agreement and agree to the privacy policy described on our website. In order to provide our warranty service, technical support functions and/or hardware repair, Videotech Sverige AB reserves the right to request that our service@videotech.se be added as an administrator or PRO user on your device. With that said, Videotech Sverige AB shall bear all guarantees and privacy conditions that are logical and applicable in such situations. After we have completed the app's maintenance and handled your request, you can send your request to Videotech Sverige AB to remove the account from your device. Our account at service@videotech.se will not be removed from your device until you have submitted your request, and it will remain dormant until we have received a new technical support request from you. By using the Products and/or Software and adding the unique identifiers (such as username, role and email address) of the users that you have connected to your account (including information about you, as listed above), you acknowledge that you have received and provided the information and data about those users, which you have collected and provided in this way, with the full and unconditional consent of the owners of that data and with an understanding of the scope and purpose of its use. By purchasing and/or using Videotech Sverige AB's Products and Software for commercial purposes (e.g. as a service delivery tool), you acknowledge that you are entering into this Agreement, agree to the privacy policy described on our website (https://videotech.se/integritetspolicy/) and represent and warrant that Videotech Sverige AB's privacy policy will be respected to the same extent as prescribed by Videotech Sverige AB in relation to any third parties and/or any users of the Products, to which information Videotech Sverige AB has granted access to you. Furthermore, you hereby warrant that you have the capacity and appropriate means to enforce the above policy.

13. Absence of Implied Rights

Any rights not expressly granted to you by Videotech Sverige AB shall not be assigned in any way - there are no implied rights in this Agreement.

14. Duration and termination

This Agreement takes effect from the time you first use the Software or Products and remains valid until terminated. You may terminate the Agreement at any time by sending a written notice to Videotech Sverige AB at service@videotech.se; however, the Agreement will not be terminated until you have completely stopped using the Products and Software. In addition, the Agreement will be terminated immediately if you have not complied with any of the terms of this Agreement. Upon termination of the Agreement, the licenses set forth in this Agreement will immediately terminate, and you agree to cease having any access to the use of the Products, Software and documentation. You also acknowledge that, upon termination of the Agreement, your access to the Software, as well as any support for the Products, will be terminated or restricted. All provisions regarding confidentiality, protection of personal data, intellectual property rights, dispute resolution procedures and all applicable laws, as well as other provisions which by their nature remain in force, shall continue to apply upon termination of this Agreement.

15. Laws and Jurisdiction

This Agreement shall be interpreted in accordance with the laws of Sweden. The choice of law does not affect your rights as a consumer under the consumer legislation of your country. Any legal proceedings that you may bring against us in connection with this Agreement shall only take place in a court in Sweden.

16. Waiver of Assignment

You may not assign or transfer any of your rights under this Agreement. Any assignment or transfer contrary to this clause shall be deemed null and void.

17. guarantee

Videotech provides service and warranty according to Videotech's general regulations. These provisions are available on the website of Videotech Sverige AB, at https://videotech.se/.

18. Waiver of Guarantees

Notwithstanding any provision and in accordance with applicable law, Videotech Sverige AB provides the software "as is" and disclaims and excludes all warranties and conditions not provided by law, whether express or implied, including any implied warranties of fitness for a particular purpose, title, uninterrupted use, accuracy and non-infringement of third party rights. Videotech Sverige AB does not warrant any specific results from the use of the software. Videotech Nor does Sverige AB guarantee or assume any responsibility for the quality and completeness of the products' functionality if Videotech Sverige AB's product has been installed without the involvement of authorized third parties (installers). Videotech Sverige AB does not warrant or assume any responsibility for (a) the quality and completeness of the functionality of the products, (b) your access to the functionality if you have provided identifying information about your products to any third party, such as product ID, email address used to activate the products and/or mobile phone number used to activate the products.

19. product use restrictions

You acknowledge that you cannot use the Products and Software for any emergency situation unless you use third party security services. The functionality of the Products and Software is limited only to monitoring the premises where the Products are installed. You understand that the Product and Software do not constitute an emergency notification system controlled by an external party and that Videotech will not monitor any emergency notifications or dispatch any emergency response teams to any facility where the Product is installed in the event of an emergency. You shall use the Software and Products at your own risk. You shall be solely responsible (and Videotech disclaims any and all liability) for any loss or damage arising from the use of the Software or Product, including any loss, liability or damage caused personally to you, your property, personal belongings (including the Product, other Products or accessories connected to any device, computer or other mobile device), data, house, apartment, residence, building or place of abode or any other facility. The contact details of the Videotech service team cannot be considered a rescue solution for any person at risk in any facility where the Product is installed and/or used, and the Videotech service team is not a substitute for any emergency response services. All life-threatening or emergency situations should be reported to the appropriate response services in your area. Videotech shall not accept any liability for any acts or omissions of third parties providing emergency response services. Limitations on the use of surveillance cameras: Recordings from surveillance video cameras when used with Videotech Software are by default saved on the camera's internal storage with exclusive access by the end user. When using video surveillance cameras, you as an end user can grant administrative rights to third parties, such as installers, security companies in the form of alarm centers, etc. Granting administrative rights to third parties gives such third parties in particular access to video recordings and transmissions from video surveillance cameras. By providing access to data from surveillance cameras, you confirm that you fully understand and accept all responsibilities for the transfer of administrative rights to third parties. You agree that Videotech is not responsible for the acts or omissions of third parties, including illegal or unethical use of data from surveillance video cameras by third parties and their consequences. Videotech does not store video recordings from third-party surveillance video cameras in cloud storage. In case of integration of third-party surveillance video cameras into Videotech Software, you agree to the privacy policies and terms of use of the indicated manufacturers. Videotech bears no responsibility in case of violations of international and national legislation on the protection of personal data arising from the use of surveillance video cameras.

20. limitation of liability

Nothing in this agreement (including anything set out in the "Limitation of Liability" provision) shall attempt to exclude or limit any liability that cannot be excluded or limited under applicable law. To the extent permitted by law, in addition to the above liability, Videotech shall deny and exclude for itself and its suppliers any liability based on contract, any breach of law (including negligence and direct liability) or otherwise for any direct, indirect, special or punitive damages of any kind, loss of income or profits, loss of business, loss of information or data or any other damages arising out of or in connection with the sale, installation, maintenance, use, operation, failure or interruption of the Software or Products, even if Videotech or its suppliers have been advised of the possibility of such damages. Videotech's liability shall be limited to repairing, replacing or refunding the purchase price of the Product and services.

21. Partial application

If any clause of this agreement is found to be invalid, illegal or unenforceable in any way, this does not affect the fairness, legality and enforceability of any remaining clauses. Any such clause that needs to be replaced shall be deemed to be automatically replaced by a valid, legal and enforceable clause with the same intentions and economic consequences.

22. Announcements

Videotech may send notifications to you by email and/or to your mobile phone number. Notices shall be sent to the email address or mobile phone number you have provided when using the Products or Software.

23. Renunciation of Rights

Videotech Waivers by Sverige AB of its own rights are not valid unless made in writing. Any waiver by Videotech Sverige AB of its right to enforce any of the clauses of this Agreement at any time shall not be deemed a waiver of its rights under any other clause and/or under such clause at any other time.

24. Name and numbering

Any names, headings or numbering of any parts of this Agreement, as well as the title of the Agreement, shall be for convenience only and shall not be used to interpret this Agreement.

25. Entire Agreement and Amendments

This Agreement shall set forth the complete scope of all understandings related to this Agreement between you and Videotech. This Agreement shall supersede all prior agreements (both written and oral) regarding the Software and/or Products. In case of any changes to this Agreement, Videotech shall notify you of such changes via Videotech's website (by posting an updated Agreement), or by sending you an email, or by informing you via notices in the Products and/or the mobile apps for the Products. If you continue to use the Products or the Software, this will be considered as your acceptance of the notified changes. It is your responsibility to monitor changes, so please check the Videotech website periodically. Videotech guarantees that the version of the Agreement posted on the Videotech website with the date closest to your date of use of the Software or Product is current.
